Eligibility

Interests in iMINDS Nexus Capital, LLC have not been and will not be registered under the United States Securities Act of 1933, as amended, or under the securities laws of any state, and are offered only in reliance on exemptions from registration. Interests are available only to persons who qualify as “accredited investors” within the meaning of Rule 501 of Regulation D, and who meet such other eligibility requirements as the manager may establish.

Risk of loss

An investment of this kind involves substantial risk, including the risk of loss of the entire amount invested. The company may hold concentrated positions, may invest in securities that are illiquid or difficult to value, and does not seek to track or replicate any index. There is no assurance that the company will achieve its objectives.

Illiquidity and transfer restrictions

Interests in the company are illiquid. There is no public market for them and none is expected to develop. Interests are subject to substantial restrictions on transfer set out in the Operating Agreement, and a member generally may not withdraw capital except as that agreement provides.
